4. Get a Digital Signature Certificate (DSC)

A Digital Signature Certificate is needed to sign forms online.

5. Apply for Director Identification Number (DIN)

A DIN is a number every director must have. You can apply for it while filing the SPICe+ form (explained in the next step).


6. Prepare the Required Documents

You need to prepare a few important documents for registration:

  1. Memorandum of Association (MoA): This explains your company’s purpose.
  2. Articles of Association (AoA): These are the rules for running your company.
  3. Declaration by Directors: Form INC-9.
  4. Consent to Act as Director: Form DIR-2.
  5. Proof of Office Address: Form INC-22.
  6. Certification by a Professional: A CA, CS, or lawyer confirms that everything is correct.

7. File the SPICe+ Form

The SPICe+ form is an all-in-one form for registering your company. It covers:

  • Company registration.
  • DIN for directors.
  • PAN and TAN for the company.
  • GST, ESIC, and EPFO registrations (if needed).

How to File SPICe+:

  1. Log in to the MCA website and open the SPICe+ form.
  2. Fill Part A to reserve your company’s name.
  3. Fill Part B with details about directors, shareholders, and the office address. Attach the required documents.
  4. Pay the fees and submit the form.

The Registrar of Companies (RoC) will review your application. If there’s any problem, they will ask for corrections.


8. Get Your Certificate of Incorporation (CoI)

Once the RoC approves your application, they will issue the Certificate of Incorporation. This document confirms your company’s registration. It will have:

  • The company’s name.
  • Corporate Identification Number (CIN).
  • Date of registration.

9. What to Do After Registration

After your company is registered, here are a few more things to do:

  1. Open a Bank Account: Use the CoI, PAN, and other documents to open a current account in the company’s name.
  2. Get GST Registration: If your business turnover crosses the GST threshold or if you are dealing with interstate sales.
  3. Issue Share Certificates: Shareholders must get their certificates within 2 months.
  4. Maintain Records: Keep details of shareholders, directors, and company finances.
  5. File Annual Returns: Submit yearly returns and financial details to the RoC.
